V.A.S.T.™
Our Approach
An investment architecture built around four lenses for identifying where underlying value, ownership dynamics, complexity, dislocation or transformation potential create opportunity in any market cycle.
A Framework of Situations, Not Sectors
V.A.S.T.™ is BlackView's investment architecture. It is not a sector focus or a stage preference — it is a framework for identifying the types of situations where BlackView's combination of capital, operating capability and strategic judgment creates a differentiated path to value.
The four lenses of V.A.S.T.™ are not mutually exclusive. Many of our best investments sit at the intersection of two or more — a value business with an active control dynamic, or a special situation with a clear turnaround path.
Value
Businesses whose underlying value is not reflected in current performance, ownership structure or market perception. The asset is sound; the read on it is not.
Signals
- —Earnings power that is durable but undervalued relative to peers
- —Performance constrained by a fixable operating limitation
- —Require investment in systems, talent or to increase capacity
- —Misunderstood or mispriced by the market
Active Control
Situations where ownership and governance create the conditions for meaningful operational and strategic change. Active control is not about taking over a business — it is about having the authority and accountability to make the decisions required to create value.
Signals
- —Founder transitions or succession situations
- —Businesses requiring strategic redirection
- —Ownership structures that have constrained investment or decision-making
- —Situations where a new governance model unlocks management potential
Special Situations
Complex, nontraditional or dislocated transactions where capital and operating capability create a differentiated path. Special situations require patience, flexibility and the ability to navigate complexity — and they often offer a valuation advantage precisely because they are difficult.
Signals
- —Carve-outs and corporate divestitures
- —Distressed or dislocated businesses
- —Structured capital situations
- —Transactions with complex stakeholder dynamics
Turnaround
Businesses requiring operational transformation, financial restructuring or strategic redirection to realize their potential. Turnarounds are the most demanding investments we make — and the most rewarding when executed well. They require deep operating involvement, clear strategic conviction and the discipline to make difficult decisions.
Signals
- —Operational underperformance with identifiable root causes
- —Financial distress with a credible path to recovery
- —Businesses that have lost strategic direction
- —A management team that recognizes the need for change and wants a partner to help deliver it
V.A.S.T.™ and C.O.S.T.™
V.A.S.T.™ defines the investment thesis — the type of situation and the source of opportunity. C.O.S.T.™ defines the value-creation plan — the specific operational, strategic and technology levers that will be pulled to realize that opportunity. Together, they form the intellectual architecture of every BlackView investment.
